After the merger of the Zlin group HP TRONIC and NAY was approved by the Czech Office for the Protection of Economic Competition (UOHS) in March, both companies received the green light to create a joint holding company from the Slovak Antimonopoly Office (PMU). Permission from these authorities was a necessary condition for the implementation of the planned alliance. This merger creates a new entity with great innovational potential on the Czech and Slovak markets.

The integration of the HP TRONIC and NAY groups, operators of brands such as DATART, ETA, Electro World and NAY, is a response to the dynamics of the current market, which faces the growing strength of online sellers and global marketplaces.

“This alliance represents an important step for both companies and brings new dynamics to both markets. It creates an entity with unique combined know-how and extensive experience in the retail market. It was the approval of the merger by the UOHS in the Czech Republic and the PMU in Slovakia that was the key condition for the realization of our plan, which we will begin to implement in the coming weeks. The first step is the preparation of a detailed and comprehensive plan for further progress,” said Daniel Večeřa, CEO of HP TRONIC.

The HP TRONIC and NAY groups are leading multi-channel retailers in the field of consumer electronics with more than 25 years of history and experience in the Czech Republic and Slovakia. The emerging NAY-DATART grouping will bring new opportunities for both companies. At the same time, it will offer improved value for customers, employees and investors. The merger will unify stores in the Czech Republic under the DATART brand and in Slovakia under the NAY brand.

“The PMU’s approval of the merger of the NAY group and HP TRONIC is great news for us,” said Petr Zálešák, Chairman of the Board of Directors of NAY. “This merger will provide benefits through the sharing of experience and increase the efficiency of operational processes, particularly in logistics, infrastructure, marketing and the purchasing of goods. It will allow us to strengthen the strategic position and make better use of opportunities not only in stores but also in the online marketplace. Many years of experience will help expand the range of products and services and maintain a high standard of customer care,” he added.

Representatives of both companies highly value their customers and want to assure them that the announced merger will not in any way affect valid contractual obligations, including customer returns and complaints that apply to products and services purchased in DATART stores in the Czech Republic and Slovakia, Electro World in the Czech Republic and NAY in Slovakia, before the merger.
